We reserve the right to revise or update these Terms of Use at any time without prior notice. Any material changes will be communicated through your admin dashboard, email, or other reasonable means. Your continued access or use of the services after such updates constitutes your agreement to be bound by the revised terms. We may also, at our discretion, modify, suspend, or discontinue certain features or functionalities of our services without liability, particularly where such changes are necessary to ensure compliance, performance, or security.
service-level contract (SLA). You agree to use our services only for lawful purposes and in accordance with any specific agreement or commercial scope established with your organization.
You agree not to misuse or interfere with our services in a way that disrupts our operations or compromises security, integrity, or availability. You may not probe, scan, reverse engineer, or test the vulnerability of any AI-Vigil system or network unless explicitly authorized in writing. You may not upload harmful code, impersonate others, or use the platform to carry out unauthorized or illegal activities. Use of AI-Vigil systems in connection with spam, phishing, automated scraping, unauthorized monitoring, or competitive benchmarking is strictly prohibited and may result in account suspension, termination, or legal action.
All content, code, models, trademarks, documentation, and infrastructure associated with AI-Vigil are owned by AI-Vigil or its licensors. Your use of our services does not grant you ownership of any intellectual property, nor does it permit reproduction, distribution, or derivative works unless expressly allowed by us under a separate agreement. You may not attempt to replicate or commercially exploit our services or models without our written consent. Any feedback or suggestions you provide may be used by us without restriction or compensation.
Your use of AI-Vigil services may involve the processing of sensitive business data, including protected health information (PHI), personally identifiable information (PII), or confidential organizational assets. Our handling of such data is governed by our Privacy Policy and any applicable Data Processing Addendum (DPA). We implement reasonable administrative, technical, and physical safeguards to protect your data, but you acknowledge that no system is entirely immune from risk. It is your responsibility to ensure that your data inputs comply with applicable law and that your internal policies align with your use of AI-Vigil systems.
Some AI-Vigil services require a paid subscription. By subscribing, you authorize us to charge your preferred payment method at the agreed frequency unless canceled in accordance with the contract terms. We reserve the right to suspend or terminate services for non-payment, excessive usage beyond agreed thresholds, or breach of contract. You may cancel your subscription by providing written notice within the timeline stipulated in your SLA or billing agreement. Upon termination, access to data and services may be revoked, although we will provide a reasonable grace period to allow data export where applicable.
To the fullest extent permitted by law, AI-Vigil will not be liable for any indirect, incidental, punitive, or consequential damages, including lost profits, business interruption, or data loss, even if we were advised of the possibility. Our total liability arising out of or in connection with these Terms or the use of our services will not exceed the amount paid by you in the twelve months preceding the event giving rise to the claim. This limitation applies regardless of the form of the action, whether in contract, tort, negligence, or otherwise.
You agree to indemnify, defend, and hold harmless AI-Vigil and its officers, directors, employees, and affiliates from any claim, liability, or demand, including reasonable legal fees, arising from your breach of these Terms, misuse of the services, violation of applicable laws, or infringement of third-party rights. This obligation will survive termination of your relationship with AI-Vigil.
These Terms are governed by the laws of the jurisdiction in which AI-Vigil is registered (US), without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms will be resolved through binding arbitration in that jurisdiction unless otherwise specified in a separate agreement. You waive any right to participate in a class action or jury trial. Where arbitration is not enforceable, both parties agree to submit to the exclusive jurisdiction of the competent courts in AI-Vigil’s place of incorporation.
We reserve the right to suspend or terminate your access to AI-Vigil services at our discretion, particularly if you breach these Terms, violate any applicable laws, or pose a threat to the integrity or security of our systems. Upon termination, all rights granted to you will cease immediately. Certain obligations, including those related to intellectual property, indemnity, and limitation of liability, will survive termination.
